Sales agreement between SimpleCAD.com (Bend, OR, USA), and following party (hereafter referred to as the Vendor):

SimpleCAD.com and Vendor agree on the following terms regarding SimpleCAD.com’s resale of Vendor’s Products.

1. SimpleCAD.com will act as a reseller for Vendor’s Products listed below worldwide unless noted below.

2. Either party can terminate this agreement for any reason by giving 30 days notice.

3. SimpleCAD.com will sell the vendors products through it's ECommerce and remit 70% of suggested retail price to vendor.

4. Vendor will be paid during the 1st week of each month for sales which occurred the previous month. Any fees associated with payment methods will be covered by Vendor.

5. Vendor is responsible to notify SimpleCAD.com of any change in suggested retail price of their product on SimpleCAD.com.

6. Vendor agrees not to intentionally undersell SimpleCAD.com. Doing so may result in the termination of this agreement.

7. SimpleCAD.com will be free to offer sale prices to its customers below suggested retail prices using coupons and other promotions. SimpleCAD agrees to using its portion of the 30% commission to run such promotions.

8. Vendor understands that in the event a fraud order or invalid purchase order occurs, that SimpleCAD will cancel the order and therefore will not constitute a sale or remittal of 70% to Vendor. Vendor also understands that SimpleCAD is not held responsible if indeed software is delivered at the time the fraud order occurs.

9. Vendor agrees to provide SimpleCAD.com with all trial downloads and marketing material in order to sell Vendor's Products. Vendor allows SimpleCAD.com to copy text and graphics as needed to create product pages on SimpleCAD.com website.

10. Vendor agrees that SimpleCAD is not responsible for any errors made on SimpleCAD.com. Vendor understands to check the pages after completion. Vendor can submit price / content changes to their product pages at any time by notifying SimpleCAD.

11. SimpleCAD.com will not be responsible for any income or local tax, fees or customs (if they apply) of software sales.

12. Software will be “shipped” electronically unless customer request a backup CD. In this case, SimpleCAD.com will collect a nominal shipping and handling charge from the customer. SimpleCAD may ask for updated files needed to burn the CD.

13. Vendor agrees to provide SimpleCAD.com one (1) copy of their Products marked and intended ‘not for resale’ (NFR) for the purposes of demonstration and evaluation prior to sale of any Product.

14. Commercial, marketing and technical information exchanged between the parties is to be considered confidential unless otherwise stated or already generally available to the public. Both parties agree to not disclose such information to any other parties.

15. It is agreed that Vendor and SimpleCAD will work together to solve any support issues. SimpleCAD will provide buyers with as much technical support as is possible, but may contact Vendor for additional support.

16. Vendor is solely responsible for providing their Product warranties. SimpleCAD.com is not liable for any claim or action relating to a Vendor’s Product.

17. Any dispute under this agreement will be governed by the laws of Oregon, United States.
